Terms of Service

Version 2026-10-20 · Effective October 20, 2026 · Applies to every digital tool sold by AZ Sun Valley Sales LLC, including AI Flip Ledger, AiListPro, AI Apply Jobs, Vacation Hub, the Roth Conversion Planner, QuoteCactus, Cross-List Pro, SparkQuote, StarReply, HaulLedger, HireHound and SignerLedger (each a "Tool"), operated by AZ Sun Valley Sales LLC, an Arizona limited liability company ("AZSV", "we", "us"). Some Tools have their own product terms (the tabs above); they add to these Terms and control where they differ.

Please read this. The short version: our Tools are data intake and data output software. They organize the numbers you give them and run math on them. They are not financial, investment, tax, accounting or legal advice, and no one at AZSV acts as your advisor through them. Results are estimates that can be wrong. You must consult a qualified tax professional (CPA, enrolled agent or tax attorney) before making any tax decision, including any Roth conversion. By using a Tool you agree you are solely responsible for your decisions and you agree not to sue us over the Tools' output (see sections 5–9, including binding arbitration and a class-action waiver).

1. Acceptance

By creating an account, purchasing access, checking an "I agree" box, or using any Tool, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Tools. You must be at least 18 and a resident of the United States.

2. What the Tools are, and are not

The Tools are general-purpose, self-directed software that perform calculations on information you enter or upload. AZSV is not a registered investment adviser, broker-dealer, CPA firm, tax preparer, enrolled agent or law firm. The Tools do not provide, and nothing in them is, financial planning, investment advice, tax advice, accounting advice or legal advice, and no output is a recommendation that you take or avoid any action. Words such as "suggested", "recommended", "plan", "should" or "best" describe the mathematical result of the assumptions in the Tool; they are not personalized advice. Using a Tool does not create an advisor–client, fiduciary, accountant–client or attorney–client relationship with AZSV or with any person associated with AZSV, regardless of any professional credentials those persons may hold in other capacities. Support emails are about how the software works and are not advice.

3. Tax-specific and Roth conversion notices

Tax law is complex and changes often. The Tools use published federal figures (for example IRS revenue procedures and CMS Medicare premium tables) that we believe were accurate when last reviewed, simplified approximations (for example a flat state rate), and assumptions you choose (for example growth, inflation, future tax-rate changes, life expectancy and heirs' tax rates). They do not prepare or file tax returns. They may not reflect your full situation, including state-specific rules, the pro-rata rule for after-tax IRA basis, the five-year rules, penalties, credits, phase-outs, alternative minimum tax, estimated-tax safe harbors, IRMAA appeals, Social Security timing, estate rules or future law changes. A Roth conversion is generally irreversible. Projections of future taxes, Medicare premiums (IRMAA), investment returns and tax-rate changes are hypothetical and are not guarantees. AI Flip Ledger's Schedule C, profit and estimated-tax figures are organizational estimates for discussion with your tax professional, not a tax return. Always confirm exact numbers with a qualified tax professional before acting.

Several Tools use artificial intelligence (currently Claude, by Anthropic) to read what you provide and to draft text, listings, letters, plans or suggestions. AI output can be wrong, incomplete or out of date, and it can sound confident when it is wrong. Review every AI draft before you rely on it, publish it or send it. You are responsible for what you publish or send. We do not use your content to train third-party AI models.

4. Your responsibilities

You are responsible for the accuracy and completeness of everything you enter or upload, for reviewing every value a Tool reads from your documents, for keeping your password secure, and for every decision you make. You will not use the Tools for anyone else's tax matters for compensation, resell access, scrape or reverse-engineer the Tools, or upload content you have no right to use.

5. Disclaimer of warranties

THE TOOLS AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, AZSV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY CALCULATION, DOCUMENT READING, TAX TABLE OR PROJECTION IS CORRECT.

6. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AZSV AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY TAXES, PENALTIES, INTEREST, MEDICARE PREMIUMS OR SURCHARGES, LOST PROFITS, LOST SAVINGS, INVESTMENT LOSSES OR LOSS OF DATA, ARISING FROM OR RELATED TO THE TOOLS OR ANY DECISION YOU MAKE, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS OF ANY KIND IS LIMITED TO THE AMOUNT YOU PAID US FOR THE TOOL IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE STATES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT THE LAW ALLOWS.

7. Release and covenant not to sue

To the fullest extent permitted by law, you release AZSV and its members, managers, employees, contractors and agents from all claims, demands and damages arising from or related to your use of the Tools, their output, or any financial, investment or tax decision you make, and you agree not to bring any lawsuit or claim against them on that basis. If a court finds any part of this release unenforceable, the limitation of liability in section 6 still applies.

8. Indemnification

You will defend, indemnify and hold harmless AZSV and its members, managers, employees, contractors and agents from any claim, loss, liability or expense (including reasonable attorneys' fees) arising from your use of the Tools, your decisions, your data or your breach of these Terms.

9. Binding arbitration and class-action waiver

ANY DISPUTE ARISING FROM OR RELATING TO THESE TERMS OR THE TOOLS WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS CONSUMER ARBITRATION RULES, SEATED IN MARICOPA COUNTY, ARIZONA, AND NOT IN COURT, EXCEPT THAT EITHER PARTY MAY BRING AN INDIVIDUAL CLAIM IN SMALL-CLAIMS COURT. YOU AND AZSV WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. YOU MAY OPT OUT OF THIS SECTION WITHIN 30 DAYS OF FIRST ACCEPTING THESE TERMS BY EMAILING [email protected] WITH THE SUBJECT "ARBITRATION OPT-OUT". ANY CLAIM MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER IT AROSE.

10. Subscriptions, billing and refunds

Monthly and annual plans renew automatically until canceled. You can switch plans, update your card or cancel any time from Account → Plan & billing; cancellation takes effect at the end of the paid period and you keep access until then. Payments are processed by Stripe; we never see or store your full card number. Annual plans can be refunded in full within 14 days of the first charge if you email us. Some Tools add their own refund promises in their product terms (for example the AI Apply Jobs 30-day interview guarantee); those apply as written there. Otherwise fees are non-refundable except where the law requires. Free trials turn into a paid plan at the end of the trial unless you cancel before it ends. We may change prices with at least 30 days' notice before your next renewal. Access purchased through eBay is a fixed-term, non-renewing license governed by these Terms and the eBay listing; it is not covered by the eBay Money Back Guarantee.

11. License

We grant you a personal, non-exclusive, non-transferable, revocable license to use the Tool you purchased for your own records during your paid term. We may suspend or terminate access for breach of these Terms. All software, content and branding remain the property of AZSV.

12. Changes, availability and data export

We may update the Tools and these Terms. Material changes will be posted here with a new version date; we may ask you to accept them again (for example at your next sign-in), and continued use means acceptance. We aim for high availability but do not guarantee it. You can export your data from a Tool at any time while you have access.

13. Governing law and general

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules, and by the Federal Arbitration Act. If any provision is unenforceable, the rest remains in effect. These Terms, the Privacy Policy and any "I agree" acknowledgement inside a Tool are the entire agreement between you and AZSV about the Tools.

AI Apply Jobs Terms & Conditions

Version getjobs-2026-10-20g · Effective October 20, 2026 · These terms apply to AI Apply Jobs at aiapplyjobs.app (the "Service"), operated by AZ Sun Valley Sales LLC, an Arizona limited liability company ("AZSV", "we", "us"). They add to our general Terms of Service and Privacy Policy. If anything here conflicts with the general Terms, these AI Apply Jobs terms control for the Service.

The short version, in plain English:
  • 30-day interview guarantee: if you give us a solid, honest rĂ©sumĂ© and complete answers, apply for jobs you're qualified for, and send your outreach, but no employer asks you to interview within 30 days, we refund your setup fee and first month. Ask within 14 days after day 30. Conditions are in section 6.
  • We don't promise a job. Hiring decisions belong to employers. What we promise is the refund above if the conditions are met.
  • You authorize us to email employers for you. When you tap Send or "Email all opportunities", we email the employers you approved, in your name. Replies go to your email.
  • Everything about you must be true and yours to share. We build your website, rĂ©sumĂ© and letters only from what you give us; you check them before you publish or send.
  • We only email addresses employers publish themselves, and we never contact your current employer or anyone on your do-not-contact list.
  • By ticking "I agree", purchasing, or using the Service, you agree to everything below, including the limits on our liability and individual arbitration in our Terms of Service.

1. What the Service does

AI Apply Jobs reads the documents, photos, links and answers you provide, uses AI (currently Claude, by Anthropic) to draft your profile, a hiring website, a résumé and cover letters, researches job openings and employer-published contact addresses, and, only when you tap Send, emails those employers on your behalf with your website link, a résumé and a cover letter attached. Your website lives at a subdomain we assign (for example first-last.aiapplyjobs.app) while your subscription is active.

2. Your authorization

You authorize AZSV to (a) publish the website you approve, (b) send emails in your name to the employers you approve or that you include with "Email all opportunities", and (c) place your name, contact details, website link and attachments in those emails. You can uninclude any employer before sending, unpublish your site at any time, and cancel at any time. Each plan includes a set number of employer emails (the launch campaign, then a monthly allowance); unused monthly allowance does not carry over.

3. Your information must be accurate

You confirm that everything you upload or tell us is true, is about you, and is yours to share (including photos and anything about other people), and that you will review your website, résumé and letters before publishing or sending. Do not ask us to state credentials, licenses, employment, education or results you do not have. You are responsible for the content of your website and emails. We may refuse, edit or stop any content or email that we believe is false, misleading, unlawful or likely to be treated as spam.

4. How we find employers

We only use email addresses that an employer or its staff published themselves (for example on a careers page, contact page, job posting or official directory), and we re-check each address on its source page before it can be sent. We never buy lists or guess addresses. Job listings and contact details come from public sources, can be out of date and are not guaranteed. Applying through an employer's own application system is your responsibility; the desk gives you the links.

5. What we promise, and what we don't

We do not promise or guarantee any job, offer, salary, reply or hiring outcome. AI Apply Jobs is not an employment agency, staffing firm or recruiter; we are not paid by employers and we do not place candidates. Employers may treat unsolicited emails in any way they choose. Our only promise about results is the refund promise in section 6: if the conditions there are met and no employer asks you to interview within 30 days, you get your money back.

6. 30-day interview guarantee (money back)

6.1 The promise. If you do not receive any Interview Request within 30 days after the date of your first AI Apply Jobs purchase (the "Guarantee Period"), and every condition in 6.3 is met, we will refund the setup fee and the first month's subscription fee you paid for AI Apply Jobs, including any sales tax charged on them.

6.2 What counts as an interview. An "Interview Request" is any invitation from an employer, or a recruiter or staff member acting for an employer, to take part in an interview of any kind, including a phone screen, video call, in-person interview, skills test or working interview, received by any means (email, phone call, voicemail, text, LinkedIn or other message, an employer's application system, or your website's contact form). It counts whether or not it came from our emails, whether or not it leads to a job, and whether or not you attend. Automatic "we received your application" messages, rejections and requests for more information without an interview invitation do not count.

6.3 Conditions. The guarantee applies only if all of these are true:

  1. You gave us a well-prepared, current résumé that accurately and completely reflects your work history, and you either uploaded a cover letter or let us write one.
  2. You answered the setup questionnaire completely and truthfully, and kept your target roles, locations and pay floor realistic for your background.
  3. You have real experience, training or credentials, shown on your résumé, in the field and at the level of the roles you asked us to target (for example, you hold any license, certification, degree or years of experience the roles require).
  4. You reviewed, approved and sent your outreach (by tapping "Email all opportunities" or sending to the employers we found) during the Guarantee Period.
  5. You did not decline, cancel, or ignore any Interview Request during the Guarantee Period, and you received none.
  6. Your account is in good standing: you paid the setup fee and first month yourself (not a $0, promotional or complimentary plan), you have not filed a chargeback or payment dispute for those charges, and you have not breached these terms.

6.4 When there is no refund. The guarantee does not apply, and no refund is owed under it, if your information was incomplete, inaccurate, exaggerated, not yours, or of such poor quality that it could not reasonably be used to apply for work; if you did not approve or send the outreach during the Guarantee Period; if you asked us to target roles you are not qualified for; if you declined, canceled or did not respond to an Interview Request; or if any Interview Request was received.

6.5 How to claim. Email [email protected] from the email address on your account, with the subject "30-day guarantee", within 14 days after the Guarantee Period ends (that is, between day 31 and day 44 after your purchase). Tell us that you received no Interview Request. We may ask reasonable questions to confirm the conditions (for example, about replies you received). We review claims in good faith and answer within 10 business days; if we decline a claim we will tell you which condition was not met. Claims made after day 44 are not covered.

6.6 What is refunded. An approved refund covers the setup fee and the first month's subscription fee (plus any tax charged on them) and is returned to the original payment method through Stripe, usually within 5 to 10 business days. Monthly fees after the first month are not covered. When the refund is issued your subscription is canceled, your website is unpublished and outreach stops. The guarantee applies once per person.

6.7 Your other rights. The guarantee is in addition to any refund rights you have under the law, and it does not change the limitation of liability in our Terms of Service for anything other than this refund.

7. AI and your data

Your documents and answers are processed by our AI provider to create your materials and research. AI drafts can contain mistakes; review them before you publish or send. We store your files and site on our servers while your account is active and for up to 12 months after it ends, then delete them unless the law requires otherwise. Email us to delete them sooner. Messages employers send through your website's contact form are forwarded to your email.

8. Billing, renewals, cancellation and other refunds

Plans have a one-time setup fee plus a monthly fee, charged by Stripe when you buy. The monthly fee renews automatically every month until you cancel; it keeps your website live and your search running. Cancel any time in Account settings; your site and outreach stop at the end of the paid month. Separately from the guarantee: if you cancel within 7 days and no employer email has been sent, email us for a full refund of the setup fee. Otherwise monthly fees are not refunded for partial months, and the setup fee is refunded only under this section or section 6. We may change prices for future months with at least 30 days' notice by email.

9. Acceptable use

One account is for one job seeker. Do not use the Service to impersonate anyone, to contact employers for any purpose other than seeking employment for yourself, or to send content that is false, harassing or unlawful. We may suspend the Service for a breach of these terms.

10. No professional advice; liability; disputes

We are not career counselors, attorneys or employment agents, and nothing in the Service is legal or professional advice. The disclaimer of warranties, limitation of liability, release, indemnification and binding individual arbitration in sections 5 through 9 of our Terms of Service apply to the Service; except for the refund in section 6, our total liability is limited to what you paid for the Service in the 12 months before the claim. These terms are governed by the laws of the State of Arizona.

11. Changes

We may update the Service and these terms. Changes are posted here with a new version date, and we may ask you to accept them again at your next sign-in. A change never takes away a guarantee claim for a Guarantee Period that had already started.

AiListPro Terms & Conditions

They add to our general Terms of Service and Privacy Policy and control where they differ.

The short version, in plain English:
  • AI writes a draft; you are the seller. Check every title, condition, item detail and price before you publish. You publish to your own eBay account and you are responsible for what you list.
  • One credit per AI-written draft. Publishing and fee checks are free. Plan credits refresh each paid month; top-up packs never expire while your account is open.
  • Price suggestions are estimates from current eBay listings, not a promise of what an item will sell for.
  • AiListPro is not affiliated with or endorsed by eBay.

1. What the Service does

You upload photos and notes about an item. AiListPro uses AI (currently Claude, by Anthropic) to draft an eBay listing (title, category, item specifics, condition notes and description) and checks current eBay listings for a suggested price. When you choose, it publishes the listing to your own eBay account through eBay's official API, using the authorization you grant on eBay's own page. You can revoke that access any time in AiListPro or in your eBay account settings.

2. You are responsible for your listings

AI can misread photos, guess wrong about brand, model, size, compatibility, authenticity or condition, and miss defects. You must review and correct every draft before publishing. You are the seller of record and are solely responsible for your listings, prices, shipping, returns, taxes and buyers, and for following eBay's policies and the law, including eBay's VeRO and intellectual-property rules, prohibited and restricted items, and accurate condition and authenticity statements. Do not list items you do not have the right to sell. We are not responsible for listing removals, account restrictions, fees, returns, disputes or losses on eBay.

3. Prices and fees

Suggested prices are calculated from active eBay listings or AI estimates and can be too high or too low. Fee checks come from eBay and may change. They are information only, not advice and not a guarantee of any sale or profit.

You keep ownership of your photos and text and give us a limited license to process and store them to run the Service. Only upload photos you took or have the right to use. One account is for one seller business. Do not share your login, resell access, scrape or reverse-engineer the Service, or use it to create misleading, counterfeit or unlawful listings. We may suspend access for a breach of these terms. AiListPro is not affiliated with, endorsed by or sponsored by eBay Inc.; eBay is a trademark of its owner.

Version vacations-2026-10-20 · Effective October 20, 2026 · These terms apply to Vacation Hub at vacationhub.app (the "Service"), operated by AZ Sun Valley Sales LLC, an Arizona limited liability company ("AZSV", "we", "us"). They add to our general Terms of Service and Privacy Policy and control where they differ.

The short version, in plain English:
  • We organize your trip; we don't book it. We are not a travel agent. Every reservation stays between you and the airline, hotel, host or venue.
  • Times, prices, weather and ideas are estimates (some written by AI). Always check with the provider before you go.
  • Your family's hub is private. We never sell or share your family's information, photos or location.
  • A free trial becomes a paid plan unless you cancel before it ends; plans renew until you cancel.

1. What the Service does

Vacation Hub is a family trip organizer: trips, itineraries, bookings read from the emails you forward, packing lists, "plan it for us" suggestions, nearby ideas, photos and a trip camera, with your family's own branding. Some features use artificial intelligence (currently Claude, by Anthropic) to read booking emails and write suggestions.

2. Not a travel agent; verify before you go

We are not a travel agent, tour operator or booking service: we do not sell, book, change or cancel travel, and we are not responsible for any provider's service, prices, cancellations or refunds. Itineraries, suggestions, packing lists, deal hints, drive and leave-by times, weather, opening hours and prices are estimates drawn from public map, weather and listing data, AI and the emails you forward; they can be wrong or out of date. Always verify with the business, airline, host or park. Never rely on the Service for safety, medical, ride-height, allergy or accessibility decisions, and never use it while driving. Directions open in Apple Maps; follow posted signs, closures and local law.

3. Your family's information

You may add family members, including children, only as their parent, guardian or with their permission, and you control and can edit or delete that information at any time. Each hub gets a private forwarding address; we only read messages that arrive at that address. Live location is used only while you turn on "Near us" check-ins. Photos and documents stay in your family's private hub; only upload what you have the right to use, and remember that anyone you share your sign-in or a shared album link with can see it. Details are in our Privacy Policy.

Version flip-2026-10-20 · Effective October 20, 2026 · These terms apply to AI Flip Ledger (the "Program"), operated by AZ Sun Valley Sales LLC, an Arizona limited liability company doing business as The 3 A.M. Company ("AZSV", "we", "us"). They add to our general Terms of Service and Privacy Policy. If anything here conflicts with the general Terms, these AI Flip Ledger terms control for the Program.

The short version, in plain English:
  • We are not accountants, CPAs, tax preparers, enrolled agents, lawyers, financial advisors or investment advisers. AI Flip Ledger is record-keeping and math software, nothing more.
  • Nothing AI Flip Ledger shows you, and nothing you type into it, can be relied on to make money, avoid losing money, or file your taxes. Every profit, fee, tax and benchmark figure is an estimate built from your own inputs and assumptions, and it can be wrong.
  • Your business decisions are yours. If you buy inventory, price items, file a return or make any other choice and lose money, pay a penalty or miss a deadline, that is not our fault and we are not responsible for it.
  • By checking "I accept", purchasing, or using the Program, you agree to everything below, including the limits on our liability, the release, and individual arbitration.

1. Acceptance

You accept these terms when you check the "I have read and accept the AI Flip Ledger Terms & Conditions" box, when you buy access (on our website or on eBay), or when you use the Program, whichever happens first. If you do not agree, do not use the Program. You must be at least 18 years old and located in the United States. If you use the Program for a business, you confirm you have authority to bind that business, and "you" includes it.

2. What AI Flip Ledger is

AI Flip Ledger is self-directed software that stores the sales, item, lot, expense, mileage and tax figures you enter or import, and runs arithmetic on them: net profit per sale, fee and cost-of-goods estimates, inventory value, mileage deductions, a draft Schedule C view, quarterly estimated-tax projections and optional anonymous benchmarks. It is a tool for organizing your own records. It does not file anything with the IRS, any state or any marketplace, and it does not give advice. The AI Advisor uses artificial intelligence (currently Claude, by Anthropic) to read your own records and write suggestions; those suggestions are generated text that can be wrong, are not professional advice, and are covered by section 4.

3. We are not your accountant, lawyer or advisor

AZSV is not a CPA firm, accounting firm, tax preparer, enrolled agent, law firm, registered investment adviser, broker-dealer or financial planner, and no one at AZSV acts as any of those for you through the Program, through support emails, or otherwise. Using the Program, emailing us, or reading anything we publish does not create an accountant-client, attorney-client, fiduciary, advisory or any other professional relationship. Words such as "profit", "deduction", "owed", "estimate", "recommended", "should" or "insight" describe the result of a calculation on the data and settings you provided. They are not professional advice and are not a recommendation to take or avoid any action. Consult a qualified CPA, enrolled agent or tax attorney before filing a return or making any tax, accounting, legal or financial decision.

4. No reliance on data or results

You agree that no data, figure, chart, report, benchmark, insight, import or output of the Program may be relied on for any purpose, including (a) deciding what to buy, how much to pay, or how to price, list or sell anything; (b) predicting or guaranteeing profit or income; (c) preparing or filing any tax return, estimated payment or information return; (d) applying for credit, loans or benefits; or (e) any representation to a lender, partner, buyer, taxing authority or other third party. Results depend entirely on what you enter, on imported marketplace reports that may be incomplete or change format without notice, on default rates (marketplace fees, mileage rates, tax rates) that may be out of date or not match your account, and on simplifying assumptions. Benchmarks are anonymous medians from users who opted in, may be based on very few sellers, and may not represent your market. Figures about AZSV's own store are our results, are not typical, and are no promise that you will do the same.

5. Your profits and losses are your own

Reselling involves real financial risk, including overpaying at auction, unsellable or damaged inventory, returns, chargebacks, marketplace fees and policy changes, shipping losses, storage costs and price swings. You alone are responsible for every purchase, sale, pricing, inventory, tax and business decision you make, whether or not you used the Program to help make it. If you lose money, earn less than you expected, owe more tax, or incur penalties, interest, fees or any other loss, AZSV is not responsible and you will not hold AZSV responsible. We make no promise that the Program will make you money, save you money or save you time.

6. Taxes

The Schedule C view, quarterly estimates, mileage deductions and other tax figures are educational approximations. They may not reflect your filing status, state and local rules, self-employment tax details, credits, phase-outs, inventory accounting method, hobby-versus-business rules, Form 1099-K thresholds, or law changes after our last review. You are solely responsible for the accuracy of your returns and payments and for any tax, penalty or interest assessed. Keep your own receipts and source records; the Program is not a substitute for them.

7. Your data, accuracy and backups

You are responsible for the accuracy and completeness of everything you enter or import and for checking every imported row. Software can fail and data can be lost or corrupted. Keep your own backups using the export and backup tools in the Program; AZSV is not responsible for lost, altered or unavailable data. How we collect and use data, including the opt-in and opt-out choice, is described in our Privacy Policy. We never sell your data.

If you add a business or LLC name, logo, colors or brand details, you confirm you own them or have permission to use them, and you give AZSV a limited license to store and display them to you inside the Program. We do not check trademarks and are not responsible for content you upload. We may remove branding that is unlawful, offensive or infringing. Your branding does not appear anywhere public.

10. License and acceptable use

We grant you a personal, non-exclusive, non-transferable, revocable license to use the Program for your own resale business during your paid term. One account is for one business; do not share your login, resell access, scrape, copy or reverse-engineer the Program, or use it unlawfully. We may suspend or end access for a breach of these terms. All software, content and branding of the Program (other than your own data and branding) belong to AZSV. AI Flip Ledger is not affiliated with, endorsed by or sponsored by eBay Inc., Facebook, Mercari, Poshmark, OfferUp, Whatnot, Etsy or any other marketplace; their names are trademarks of their owners and are used only to describe compatibility.

11. Disclaimer of warranties

THE PROGRAM, ALL DATA AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, AZSV DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT, AND THAT THE PROGRAM WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE OR THAT ANY CALCULATION, IMPORT, RATE OR TAX FIGURE IS CORRECT.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AZSV AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST SAVINGS, INVENTORY OR INVESTMENT LOSSES, BUSINESS INTERRUPTION, LOSS OF DATA, TAXES, PENALTIES, INTEREST OR FEES, ARISING FROM OR RELATED TO THE PROGRAM, ITS DATA OR OUTPUT, OR ANY DECISION YOU MAKE, UNDER ANY THEORY, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PROGRAM IS LIMITED TO THE LESSER OF (A) THE AMOUNT YOU PAID FOR THE PROGRAM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

13. Release and covenant not to sue

To the fullest extent permitted by law, you release AZSV and its members, managers, employees, contractors and agents from all claims, demands and damages of every kind, known or unknown, arising from or related to the Program, its data or output, or any business, financial or tax decision you make, and you agree not to sue them or bring any claim against them on that basis. If you are a California resident, you waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You waive any similar law of any other state. If any part of this release is unenforceable, section 12 still applies.

14. Indemnification

You will defend, indemnify and hold harmless AZSV and its members, managers, employees, contractors and agents from any claim, loss, liability, penalty or expense (including reasonable attorneys' fees) arising from your use of the Program, your data or branding, your business, your tax filings, or your breach of these terms.

15. Binding individual arbitration and class-action waiver

ANY DISPUTE ARISING FROM OR RELATING TO THE PROGRAM OR THESE TERMS WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION UNDER SECTION 9 OF OUR TERMS OF SERVICE (AMERICAN ARBITRATION ASSOCIATION CONSUMER RULES, SEATED IN MARICOPA COUNTY, ARIZONA), EXCEPT INDIVIDUAL SMALL-CLAIMS CASES. YOU AND AZSV WAIVE ANY RIGHT TO A JURY TRIAL AND TO BRING OR JOIN ANY CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. ANY CLAIM MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER IT AROSE OR IT IS PERMANENTLY BARRED. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS OF FIRST ACCEPTING THESE TERMS AS DESCRIBED IN THE TERMS OF SERVICE.

16. Changes, termination and general

We may update the Program and these terms. Material changes will be posted here with a new version date, and we may ask you to accept them again before you continue. You may stop using the Program at any time. These terms are governed by Arizona law, without regard to conflict-of-law rules, and by the Federal Arbitration Act. If any provision is unenforceable, the rest remains in effect, and our failure to enforce a provision is not a waiver. These terms, the Terms of Service and the Privacy Policy are the entire agreement between you and AZSV about the Program.

Your data is private. We never sell, rent or share your personal or financial information with third parties for their own marketing or any other purpose. Documents you upload to the Roth Conversion Planner are read inside your own browser: the files themselves are not sent to or stored on our servers. Only the numbers you choose to keep are saved to your account.

Only the service providers needed to run the Tools, acting on our instructions: our hosting provider, Stripe (payments), Cloudflare (network security) and Google (email delivery). We disclose information if the law requires it. We do not sell or share personal information with third parties for their own purposes, and we do not use your data to train third-party AI models.

Security and retention

Connections are encrypted (HTTPS). Passwords are hashed with PBKDF2. Access to the database is restricted to AZSV. We keep your data while your account exists and for up to 12 months after it ends, then delete it unless the law requires otherwise. Email us to delete your account and data sooner.

Your choices

You can export or delete your Tool data, change your data choice, and close your account at any time by emailing [email protected]. We do not knowingly collect data from anyone under 18. Details about children in a Vacation Hub (such as a first name, age or packing needs) are entered by their parent or guardian, who controls them and can edit or delete them at any time.
